Berlin, June 29, 2022 – The Management Board of EAMD European AeroMarine Drones
AG (ISIN: DE0006611957 WKN: 661195, “EAMD”) has resolved, with the consent of the
Supervisory Board, to increase the share capital of the Company by up to EUR 169,106
against cash contributions. Up to 169,106 new bearer shares will be issued from the
authorized capital. The proceeds from the cash capital increase, based on the fixed
subscription price of EUR 15.00, amount to up to EUR 2.5 million.
The new shares will be offered to shareholders for subscription at the subscription price of
EUR 15.00 per new share. For every two shares held, shareholders will receive a
subscription right to one new share. The subscription period starts on Thursday, July 7,
2022, 00:00 hours and ends on Wednesday, July 20, 2022, 24:00 hours. Unsubscribed new
shares will be offered to a limited number of investors in a private placement at the same
price and allocated at the discretion of the Executive Board with the approval of the
Supervisory Board. The full text of the subscription offer with instructions on exercise and
settlement will be published in the afternoon of Monday, July 4, 2022 in the German Federal
Gazette (Bundesanzeiger).
Das Bezugsangebot wird gemäß § 3 Nr. 2 WpPG ohne einen Wertpapierprospekt in der Bundesrepublik Deutschland durchgeführt. Die BaFin hat das Wertpapier-Informationsblatt („WIB“) für das öffentliche Angebot am 29. Juni 2022 gestattet. Das WIB ist ab dem 1. Juli 2022 über die Internetseite der Gesellschaft unter www.eamd.eu abrufbar.
